International Licensing: When Technology Crosses Borders
by American Bar Association (1 module, ~1.5hr)
This program is addressed to attorneys in law firms and in-house who need to know how to structure, analyze, draft, and negotiate sophisticated technology transfer agreements where the licensor and the licensee are located in different jurisdictions. International transfers of technology have become so routine that most attorneys take for granted that a purely domestic license agreement can be applied to international situations. However, the issues that arise when technology gets transferred internationally are numerous and require solutions that are anything but intuitive. Identifying the technology, defining royalty payments, the ways in which intellectual property can get protected, liability and associated support, and technical assistance all raise difficulties that can be daunting. The faculty for this program are highly experienced attorneys who have practiced in the United States and Europe, and represent leading companies in all areas of technology: software, hardware, life sciences, industry, internet, and e-commerce.
