The program will help intellectual property lawyers, litigators, and employment attorneys appreciate the unique legal landscape confronting biotech companies. IP transactions are complex and important business strategies. Whether an attorney is negotiating an M&A or a licensing transaction, protecting IP assets during an important business deal requires careful consideration and implementation of each party’s contract rights and obligations. In this online course, a panel of speakers from different business areas discuss their particular transactional challenges. They discuss the provisions required in a contract in order to protect the company's IP rights and business interests. Different perspectives to be addressed include IP provisions in transactions with start-up companies, nonprofit institutes and universities as well as provisions required in transactions with large companies. Preserving trade secrets, ensuring title to the IP and control over the IP after the transaction will be viewed from the perspective of a mobile and knowledge-based society.

This program is addressed to attorneys in law firms and in-house who need to know how to structure, analyze, draft, and negotiate sophisticated technology transfer agreements where the licensor and the licensee are located in different jurisdictions. However, the issues that arise when technology gets transferred internationally are numerous and require solutions that are anything but intuitive.
